Terms of Service

These terms are an agreement between you and Venturerize, based in Bengaluru, Karnataka, India ("we", "us"). Contact: talkto@venturerize.com, +91 63646 09168. Grievance Officer: the Director and Chief Technology Officer of Venturerize (Grievance Officer and data protection contact).

They apply when you use venturerize.com, make an account, claim an offer, refer someone, ask for a quote or buy a service. By doing any of these you agree to them, and to our Privacy Policy and Refund & Cancellation Policy, which are part of these terms. You must be 18 or older and, if you act for a business, allowed to bind it.

• Prices on the site are starting prices for a standard scope. The final price is in your written quote, agreed before any work starts.
• The MRP shown struck through above a price is our list price before the current price. The price you pay is the one in your quote.
• Prices are set in Indian rupees. Other currencies are shown as a guide at a fixed rate we update from time to time; your invoice shows the amount and currency you pay.
• Taxes (such as GST, if and when it applies to us) and third-party costs (domains, hosting you ask us to buy, WhatsApp, AI and phone usage, paid plugins or media) are extra unless the quote includes them.
• A quote is valid for 14 days. Obvious pricing mistakes on the site can be corrected before you accept a quote.

• The quote describes what we build, the stages, the number of change rounds and the timeline. Anything not listed is extra and quoted separately.
• You give us accurate content and the access we need, on time. You confirm you have the rights to everything you send us (text, logos, photos, data), and that your business, content and use of our work are lawful.
• We do the work with reasonable skill and care. Timelines are estimates and move by any delay on your side.
• Approval, payment, cancellation and refunds follow the Refund & Cancellation Policy.
• We may use subcontractors and tools (including AI tools) to do the work; we remain responsible for it.

Invoices are payable by the due date shown, by bank transfer, UPI or another method we agree. Late invoices may pause work and monthly services (see the Refund Policy). We don't start a stage until its payment is received.

• Websites (one-time purchases): when every invoice for the website is paid in full, you own its final design, content and custom code. Until then it stays ours and we may take unpaid work offline.
• Everything else is provided as a service, not sold: AI voice agents, website assistants, WhatsApp and other automations, workflows, marketing agents, the Personal AI Assistant, hosting and any monthly plan. You get the right to use them only while their fees are paid. The one-time setup fee pays for setting them up for you, not for owning them. When payments stop or the plan is cancelled, the right to use them ends and we switch them off; their code, prompts, workflows and accounts stay ours. Your own data inside them (your contacts, messages, content) stays yours, and we export it for you on request within 30 days of the end.
• We keep ownership of our own tools, templates, code libraries, workflows, prompts and know-how used across clients. For a paid-off website you get a permanent licence to the parts of these built into it.
• Third-party software, fonts, media and services stay under their own licences.
• We may show the finished work (name, screenshots, a short description) in our portfolio and marketing, unless you ask us in writing not to.
• The Venturerize name, logo, site and Design Lab tool belong to us.

AI agents answer using AI models from third parties. They can make mistakes, so you remain responsible for what they say and do for your business, for checking important outputs, for telling your customers they are talking to an AI where the law requires it, and for following phone, messaging and data laws in your country (for example consent for calls and WhatsApp messages). We aren't liable for decisions made from AI output or for changes, limits or outages of the AI, WhatsApp or phone providers.

Care plans and agent maintenance cover hosting management, updates, backups and the small changes described in the plan. They renew monthly until cancelled and can be cancelled any time (see the Refund Policy). Domains, hosting bills and usage-based costs are paid by you unless the plan says otherwise.

Accounts are free. Give true details, keep your password safe, and don't share or sell an account. One person or business may have one account. We may suspend or close an account that breaks these terms; you can close yours any time by emailing us.

• WELCOME10 gives 10% off a client's first project and is applied to the first invoice automatically. Referral and partner codes give the percentage shown.
• One code per project. Codes can't be combined with each other or with credits on the same invoice.
• Codes have no cash value and can't be sold or exchanged. We may end a code or a campaign at any time; codes already applied to an invoice are honoured.

• Each account gets one permanent referral code. Anyone with an account can take part; you don't need to be a client.
• When a business you referred pays its first invoice, you earn credit equal to 10% of the money it actually paid (credits it used don't count), plus the one-time bonuses shown on the referral page.
• Referrals don't count for yourself, your own business or a second account of yours, or a business that was already our client or already in touch with us. Each business counts once.
• Don't send spam, pay for ads on our brand name, pretend to be us, or mislead people to get referrals. Credit gained by fake accounts, self-referral, fraud or breaking these rules is removed, and we may close the account.
• We may change the rewards or end the programme with notice on the referral page. Credit already earned stays on your account.

• Credits are a digital value that works only inside Venturerize (and with partner companies, if we announce any): 1 credit equals ₹1 off our services. They have no value outside Venturerize: they can't be withdrawn as cash, sold, transferred to a bank, exchanged for money or refunded, and they aren't a deposit or a bank-style wallet.
• Use them in the Client Portal with "Use my credits" on an unpaid invoice. Promotional credit is used first, then referral credit.
• Credits can't be used on the same invoice as a discount code. You can choose credits instead of the code.
• On an invoice that is already past its due date, you can only use credit you had before that date.
• At least 25% of a Personal AI Assistant is paid in money.
• Referral credit doesn't expire while your account is open. Promotional credit expires on the date shown on your account.
• Credits can be moved to another account only by our support team, on your written request.
• We may correct credits added by mistake and remove credits gained by abuse.

• Offers are listed on the offers page with their amount ("up to"), what they apply to, who can claim, the claim deadline and how long you have to use them. Those conditions are part of these terms.
• Every order is at least 20% paid in money (or more if the offer says so). An offer covers at most the rest, and only on the services it lists.
• One claim per offer per person or business. Offers can be limited to a number of people and end when they run out.
• Offers never cover domains, third-party costs or usage, and cover monthly plans only if the offer says so.
• We may end an offer early; offers already claimed are honoured until they expire.

Don't use the site or our services to break the law, infringe anyone's rights, send spam, run scams, spread malware, scrape or overload the site, or get into systems or data you aren't allowed to. We don't build for illegal, adult, gambling, weapons or hateful businesses. We may stop work or service if a client asks for any of this.

• The free tools, Design Lab and demos are provided "as is".
• We aren't liable for lost profits, lost data, lost business or other indirect losses, or for problems caused by your content, your instructions, third-party services, or changes made by anyone else after handover.
• Our total liability for any claim about a project or service is limited to the amount you paid us for that project or service in the 6 months before the claim.
• You will cover our reasonable costs if a claim is brought against us because of content you gave us or how you used our work.
• Nothing here limits liability that can't legally be limited, or rights you have under consumer law that can't be excluded.

These terms are governed by the laws of India. If something goes wrong, write to our Grievance Officer first (talkto@venturerize.com); we acknowledge within 48 hours and aim to resolve it within one month. If it isn't resolved within 30 days, either side may refer it to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Bengaluru, in English. Subject to that, the courts in Bengaluru have jurisdiction. This doesn't stop a consumer from using a consumer commission or the protections of their own country's law where those can't be waived.

• Neither side is responsible for delays caused by events outside its control (outages, disasters, government action).
• If one part of these terms is found invalid, the rest still applies.
• Notices to us go to talkto@venturerize.com; notices to you go to the email or WhatsApp number you gave us.
• We may update these terms; the date at the top shows the latest version. Changes don't apply to a quote you already accepted, and important changes are announced on your account first.
